What we build: tokenization platform concept

Innowise’s approach to asset tokenization platform development treats assets as independent on-chain objects. Each of them is governed by its ownership, transfer, and settlement rules at the contract level.

  • Full lifecycle coverage

Your system will include issuance, cap table management, secondary transfers, distributions, corporate actions, and redemption. This removes the off-chain coordination layer.

  • Unified contracts, backend, compliance

Contract state is linked to off-chain compliance checks, so legal conditions are enforced on-chain. Integrated systems trigger on-chain actions that have cleared compliance.

  • Ownership, revenue, restrictions

Fractional ownership models, revenue waterfalls, investor whitelisting, lock-up rules, and redemption conditions are encoded at the contract level.

  • Asset as an on-chain object

Each asset class is deployed through its own smart contract, with separate logic for ownership representation, transfer permissions, and event sequencing.

How value moves through an asset tokenization platform

Capital enters the platform, is converted into tokens, supports ownership in an underlying asset, and flows back out through distributions or sales. Every step is subject tos compliance checks. That’s the loop a tokenization platform has to manage.

Here’s how Innowise maps out the flow on our projects. Switch scenarios to see how capital and income move depending on the asset and exit path.

Each scenario routes through the vendors that actually do the work.

Asset types we support

  • Real estate
  • Equity, VC & fund
  • Physical assets
  • Debt & receivables
  • IP, royalties & revenue
  • Data
  • Code & software

Real estate & fractional ownership

We model the SPV or co-ownership structure in contract logic, preserving the legal entity layer. The platform manages fractional cap tables, transfer approval, and income distributions. On-chain records sync with the legal ownership of real estate.

Digital real estate solutions enable automated smart home access, remote management, and secure transactions

Private equity, VC & fund structures

LP interest tokenization with the fund’s full economic logic encoded on-chain. NAV-linked transfer restrictions ensure secondary trades are only executed when permitted by the fund's governing documents and applicable regulations.

Blockchain engineer audits Bitcoin transaction data using a mobile interface for network validation.

Commodities & physical assets

We build attestation bridges that tie on-chain token supply to verifiable custody or registry records. Redemption triggers off-chain delivery when the token is burned, keeping a 1:1 link between the digital token and the physical asset.

Crypto security team validates cold storage setup for Ethereum to prevent unauthorized access

Debt instruments & receivables

Coupon schedules, variable-rate logic, seniority waterfalls, maturity enforcement, and grace-period mechanics go on-chain. For receivables and loan participations, servicer interfaces synchronise repayments from loan systems to token-holder accounts.

Trading floor specialists monitor interactive graphs, translating raw numbers into actionable market strategies

IP, royalties & revenue rights

We model rights ownership and automate split payments across multiple beneficiary tiers. Verifiable revenue events from connected data sources trigger distributions. Rights holders get a transparent, auditable record of entitlements.

IT security team tests distributed ledger functionality by simulating Bitcoin transactions between devices

Data assets

We tokenize access rights to proprietary datasets and data licensing pools, so usage, expiration, and sublicensing conditions are encoded in the token logic. Access control is at the contract level, and consumption can be metered and settled on-chain.

Blockchain engineering team streamlines connections between crypto wallets and business platforms

Code & software assets

Innowise builds tokenization layers for software libraries, SaaS revenue participation rights, and open-source project stakes. The platform tracks contributor entitlements, enforces license conditions on transfer, and routes revenue participation.

Benefits of custom RWA tokenization platform development

01/03

Flexible investor classes

The platform supports multiple investor tiers with distinct on-chain access rights, participation rules, transfer permissions, and lock-up conditions. Permissioning is updated without redeployment, so issuer-controlled adjustments can be made as regulatory status, KYC tier, or holding limits change.
02/03

Automated revenue distribution

Distribution logic is executed on-chain at the contract level. Investors receive distributions based on a verifiable on-chain state, without requiring a third-party administrator to process payments off-chain. Every distribution event is auditable in the on-chain transaction record.
03/03

Native compatibility with DeFi

Custom contracts are composable with DeFi protocols such as liquidity pools, lending markets, and DEX integrations. Compliance stays intact. Permissioned DeFi hooks allow the token to interact with external protocols while maintaining whitelist checks at every integration point.

How the platform works: asset lifecycle overview

Asset submission

The asset owner submits legal documentation, ownership records, and commercial terms via the issuer portal.

Off-chain verification

Documents, title records, and investor eligibility conditions are reviewed against the platform's compliance ruleset.

Administrative approval

A platform administrator reviews the verified submission and approves or rejects the issuance request via the secure admin panel.

Oracle data transfer

An oracle writes the approved asset data to the smart contract, including token parameters, proof of reserves, and off-chain verification attestations.

Investor onboarding

Investors complete KYC/AML checks and are assigned to a permissioning tier. Their wallets are added to the contract's access control whitelist.

Token issuance

Tokens are minted by the contract according to the approved supply parameters. Each token represents a defined ownership or economic right in the asset.

Primary offering

Tokens are offered to whitelisted investors. The platform handles subscriptions, payments, and allocation, with on-chain settlement at closing.

Secondary market trading

Secondary transfers are allowed only after contract-level checks for lock-up periods, transfer approvals, and counterparty eligibility for every trade.

Distribution & reporting

On-chain distribution logic lets verified revenue events trigger payouts, while dashboards show holdings, transaction, and distribution records.

Compliance and security by design

Build asset tokenization platforms that scale

Integration with trading agents, APIs, and AI

A scalable tokenization platform should operate as an open system, with core functionality exposed through structured APIs and designed to support machine-to-machine access. As part of our crypto tokenization platform development services, Innowise integrates the following technologies:

Trading agents

Algorithmic agents can execute token transfers programmatically. On-chain compliance checks run on every instruction from whoever sends it: a human or a bot.

APIs

REST and WebSocket APIs cover issuance, transfers, compliance status, and distributions. The platform plugs into OMS, portfolio management, and custody systems without custom middleware.

AI agents

Investors and relationship managers can query portfolio data, distributions, and compliance status in plain language, which is faster than navigating a dashboard.

Why choose us for asset tokenization platform development

  • Non-standard asset experience

We’ve built for cases where getting the architecture right from the start matters most: multi-tier waterfalls, hybrid instruments, and cross-jurisdiction ownership structures.

  • From-scratch platforms

We don’t adapt templates to fit your requirements. We start with your legal structure and build up, so the platform reflects your constraints.

  • Aligned legal, finance, tech

During architecture design, we work with your legal counsel and compliance team so that contract logic reflects your governing documents and can be explained to a regulator.

  • Build to scale and white-label

New asset classes, jurisdictions, and issuers are added without rebuilding the core platform. You can white-label your infrastructure for third parties and turn it into a product.

FAQ

From-scratch development makes sense when the asset structure, compliance requirements, or commercial logic cannot be accurately represented by an existing platform or token standard. This is usually the case when the asset has non-standard ownership mechanics, the platform needs to support multiple asset types or issuers over time, or when the issuer requires full control over contract logic.

Compliance rules are encoded into the smart contract’s transfer logic, so every transaction is validated against the applicable conditions before it executes. In other words, the contract checks the receiving address against a KYC-verified whitelist, confirms the investor’s assigned tier, validates jurisdiction-specific holding limits, and applies any lock-up or approval requirements as part of the transfer call itself. If any condition fails, the transaction reverts.

External data is written to the smart contract by an oracle, which acts as a verified data bridge between off-chain sources and on-chain state. The oracle architecture is designed for the specific data requirements of each asset class. Data is cryptographically signed at source and validated by the contract before it affects token supply, distribution calculations, or eligibility conditions. If multiple data sources are required, the design can incorporate aggregation and conflict resolution logic so the contract does not depend on a single point of failure in the data feed.

Yes, secondary market functionality is built into the platform architecture from the outset. Transfer logic enforces all applicable restrictions on every secondary transaction. Lock-up periods, eligible counterparty checks, transfer approval workflows, and jurisdiction-specific limits apply at the contract level, regardless of the venue where the trade originates. The platform can be configured to support peer-to-peer transfers, an integrated order book, or integration with a permissioned secondary market operated by the issuer or a regulated ATS. For assets where DeFi liquidity is appropriate, the contract can be designed with compliant hooks that allow interaction with external protocols while maintaining whitelist enforcement at every integration point.

Security review begins with threat modelling during the architecture phase, where attack surfaces are identified before contract logic is written. Throughout development, we maintain invariant tests alongside the contract code and run them continuously as part of the test suite. Before any deployment, an independent third-party audit is conducted against the final contract code and its specification.

Development costs may go up and down depending on the complexity of the asset structure, the compliance model, the number of asset types the platform needs to support, and the scope of integrations required. So, it’s unrealistic to give any numbers. A platform for a single, well-defined asset class with a straightforward legal structure will cost considerably less than one built to support multiple asset types across multiple jurisdictions with a full secondary market and institutional API layer. Innowise experts are happy to give you a direct assessment based on your specific requirements.
